Global Financial Markets

We provide highly commercial and practical advice across the full spectrum of the financial sector including acquisitions of financial institutions, leveraged and acquisition finance, project finance, asset finance, structured finance, general banking, derivative products, securitisation, financial regulation, insolvency and restructuring, capital markets and Islamic finance.

Our capital markets practice provides legal advice on complex debt and equity transactions, structured finance, derivatives and securitisations. We combine our expertise in a wide range of financial products with a broad understanding of debt and equity securities issues, enabling us to maintain an overview of the whole capital structure.

Leading members of Clifford Chance's award winning worldwide Projects group are based in the Paris office and form part of a multi-disciplinary team of common and civil law lawyers, well equipped to advise on major French and international project finance transactions.

Corporate – M&A, Funds and Commercial Contracts & Antitrust

We lead high value, complex M&A (including public takeovers), private equity and other corporate finance deals for the leading local and international banks, corporations and financial investors. The team has a sound understanding of the business and legal environment across a number of industry sectors. The corporate team has a wide range of expertise and experience in mergers, acquisitions and disposals, corporate restructurings, private equity, securities law, equity capital markets, privatisations, shareholders agreements, joint ventures, cooperation agreements, corporate governance and private funds. The group also comprises of a team of lawyers specialising in anti-trust/European law.

The commercial contracts group has a wide-ranging practice of fundamental importance, advising on the many facets of contract law, economic regulations, consumer law, telecommunication, media and technology, intellectual property and transport and logistics regulations.

We have demonstrable strength in these core areas and a track record that is second to none. Our specialists regularly work in integrated, cross-practice teams that combine technical expertise in French and multi-jurisdictional deals with a business-focused, innovative approach.

Real Estate

The dedicated real estate practice group, led by two partners, advises on all aspects of real estate including mergers and acquisitions, joint ventures and shareholders agreements, construction and development, global asset management, real estate finance, restructuring and funds. This highly experienced team has the capability to undertake complex work, wherever our clients require, and whatever the legal nature of the transaction.

The Paris real estate team represents all players in the real estate market – from developers and investors to financial institutions, as well as landlords and tenants in relation to retail, office and industrial leases.

Litigation & Dispute Resolution

Our litigation and dispute resolution group, led by 10 partners, advises clients across the full range of civil litigation, arbitration and alternative dispute resolution. The group also comprises teams of lawyers specialising in public law, white collar crime, investigations and compliance issues, both nationally and internationally, as well as in matters spanning multiple jurisdictions.

Our approach emphasises the practical understanding of our clients' business problems and is supported by our experience across every segment of the corporate and financial world. We specialise in managing complex cases that involve multiple claims and parties, covering securities litigation, M&A and banking litigation, product liability, injunctions and interim measures.

We also work closely with other Clifford Chance practice areas to develop compliance initiatives and other techniques that help our clients reduce litigation risk. The team advises on dawn raids, internal investigations and provides training for top management and teams on anticorruption, anti-trust, sanctions and embargoes.

The international arbitration team has experience of arbitrations seated all over the world, in various industry sectors and has unparalleled ties with the ICC Rules, ICC Court and ICC arbitrators. The lawyers specialising in anti-trust and European law advise on both public and private anti-trust enforcement (such as cartels and the abuse of dominant position), merger control, distribution law, state aid and EU regulation. The Public law team specialises in public contracts, restructuring/privatisations in the public sector, deregulation and environmental law issues. A fully dedicated employment team provides advice on restructuring; employment litigation and severance, collective employment relations, compensations matters, employment contracts and policies as well as accompanying corporate lawyers on the employment aspects of mergers and acquisitions.

Tax, Pensions & Employment

The dedicated tax team in the Paris office, led by three partners, provides a full range of advisory tax services relating to mergers & acquisitions, LBOs, corporate restructurings joint ventures, real estate and finance. The team also specialises in financial modelling and funds structuring and has a deep experience in tax litigation, employee profit sharing and incentive share plans. The group also comprises teams of lawyers specialising in Employee Benefits & Employment law.

Energy, Mining and Infrastructure

Over the past ten years, we have been involved in almost all the major energy, mining and infrastructure projects in Morocco, whether as adviser to foreign and local investors or lenders.
